1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Spectre Labs website at spectrelabs.tech and our sports intelligence and athlete management platform ("the Platform"), operated by Spectre Labs ("we", "us", "our").
By accessing our website or using the Platform, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use our website or Platform.
2. Definitions
- "Platform" means the Spectre Labs athlete management system available at ams.spectrelabs.tech and any related services.
- "Customer" means a sports organisation or entity that enters into a subscription agreement with us to use the Platform.
- "User" means any individual authorised by a Customer to access the Platform.
- "Content" means any data, text, images, or other materials uploaded to or generated by the Platform.
3. Website use
Our website is provided for informational purposes and to allow prospective customers to contact us. You may use our website for lawful purposes only. You must not:
- Use the website in any way that breaches any applicable local, national, or international law or regulation
- Attempt to gain unauthorised access to our website, servers, or databases
- Introduce any viruses, trojans, worms, or other harmful material
- Scrape, harvest, or extract data from our website without our prior written consent
4. Platform access and accounts
Access to the Platform is subject to a separate subscription agreement between Spectre Labs and the Customer. These Terms supplement (but do not replace) the terms of any such agreement.
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately if you become aware of any unauthorised use of your account
- We reserve the right to suspend or terminate access to the Platform at our discretion if these Terms or the subscription agreement are breached
5. Intellectual property
All intellectual property rights in the website and Platform (including but not limited to design, text, graphics, logos, software, and underlying technology) are owned by or licensed to Spectre Labs. You may not reproduce, distribute, modify, or create derivative works from any part of our website or Platform without our prior written consent.
Customers retain ownership of any data they upload to the Platform. By uploading data, you grant us a licence to process and store that data solely for the purpose of providing the Platform services.
6. Data and privacy
We process personal data in accordance with our Privacy Policy and applicable UK data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Where we process personal data on behalf of a Customer (as a data processor), the terms of processing are set out in a Data Processing Agreement forming part of the subscription agreement.
7. Availability and support
We aim to ensure the Platform is available at all times but do not guarantee uninterrupted access. We may suspend access for maintenance, updates, or circumstances beyond our reasonable control.
Support is provided in accordance with the service level set out in your subscription agreement.
8. Limitation of liability
To the fullest extent permitted by law:
- The website and Platform are provided on an "as is" and "as available" basis
- We exclude all implied warranties, conditions, and representations
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or Platform
- Our total aggregate liability to you shall not exceed the fees paid by you (or your organisation) in the 12 months preceding the event giving rise to the claim
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
9. Indemnification
You agree to indemnify and hold Spectre Labs harmless from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or misuse of the website or Platform.
10. Third-party links
Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of any third-party sites. Inclusion of a link does not imply endorsement.
11. Termination
We may terminate or suspend your access to the website or Platform immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the website and Platform ceases immediately.
For Platform Customers, termination of the subscription agreement is governed by the terms of that agreement.
12. Changes to these Terms
We reserve the right to amend these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the website or Platform after changes constitutes acceptance of the revised Terms.
For Platform Customers, material changes to these Terms will be notified in advance via email.
13. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court, the remaining provisions shall continue in full force and effect.
15. Entire agreement
These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Spectre Labs regarding the use of our website and Platform.
